Corporations are the other primary form of entity. In this lecture, we will discuss how corporations are created, termination and operated. Ideally, corporations shield us from liabilities generated by the corporate business. Nevertheless, we will discuss the ways in which individuals may become responsible for corporate debts and malfeasance. Note Bene: we should be able to get through this material in one lecture; if we cannot, I reserve the right to rollover the remainder into the next.
