Businesses as separate entities do carry a certain liability for torts and crimes committed by their agents (as we discussed in Agency law). The torts and crimes being discussed in this lecture are no different in any legal way from others we have covered, they simply are the ones most commonly associated with business. Hence we tend to refer to them as Business Torts & Crimes.
Of particular importance is Intellectual Property protection, since ideas and expressions thereof make up such a large part of the value of any business; the discussion of IP will take up the bulk of this lecture.
Materials: Skim Miller & Jentz Chapter 6; I just want you to get a rough idea of the distinctions between crimes and torts. Read Chapter 5 entirely, and the following parts of Chapter 27: the introduction, §1, the first part of §2 (skip all the stuff on exemptions), and the portion of §3 on insider trading (10b-5).
